These Terms and Conditions (the “Agreement”) set forth the rights and obligations of Onyxon LLC (hereafter referred to as “Easy Learn”), a limited liability company registered under the laws of the United States, and the Customer, as defined in the Order Confirmation. By engaging EasyLearn’s services, the Customer agrees to the following terms:
THE PARTIES
This Agreement, including the Order Confirmation and any other applicable agreements, forms a binding contract between:
- Onyxon LLC, located at 1209 Mountain Road, PL NE STE R, Albuquerque, New-Mexico, 87110, United States of America, operating in compliance with U.S. federal and state laws.
- The Customer, as identified in the Order Confirmation.
In case of conflict, the Order Confirmation shall take precedence over these Terms and Conditions.
EASY LEARN'S SERVICES
Easy Learn provides digital marketing, educational resources, consulting, and consultative services designed to connect students with educational institutions. Services may include:
- Online advertising and promotion of educational programs.
- Collection and management of student data via a proprietary platform.
- Social media campaigns, virtual events, and consulting services.
- Mentoring and training (educating) via selling own author's courses and materials
- Other services as specified in the Order Confirmation.
SCOPE OF SERVICES
The specific services to be provided are detailed in the Order Confirmation. Easy Learn grants the Customer a non-exclusive, non-transferable license to access and use the services for the duration of the Agreement.
TERM OF THE AGREEMENT
This Agreement begins on the date it is signed by both parties and continues until terminated as specified herein. Subscription services renew automatically unless canceled in writing 30 days before the renewal date. Either party may terminate this Agreement for material breach upon 30 days’ written notice, provided the breach is not remedied.
SERVICE FEE AND PAYMENT TERMS
The Customer agrees to pay the fees outlined in the Order Confirmation. Payment terms are net 30 days from the invoice date unless otherwise stated. Fees are exclusive of applicable taxes. Late payments incur a penalty of 1.5% per month.
CUSTOMER MATERIALS
The Customer must provide marketing materials and other information necessary for Easy Learn to deliver its services. Failure to provide such materials on time does not entitle the Customer to a fee reduction or extension of the Agreement term.
LICENSE TO USE CUSTOMER MATERIALS
The Customer grants Easy Learn a non-exclusive, royalty-free license to use its materials for service delivery and promotion. The Customer represents and warrants ownership of or rights to use these materials.
PRESS RELEASE AND MARKETING PERMISSION
Easy Learn may identify the Customer in promotional materials unless otherwise requested in writing. Requests to cease such usage may take up to 30 days to process.
SERVICE QUALITY AND DISCLAIMER
Easy Learn strives to provide high-quality services but makes no guarantees regarding specific outcomes, such as user engagement or student enrollments. Services are provided “as is” without warranties of any kind.
LIMITATION OF LIABILITY
Easy Learn’s liability is limited to the total fees paid by the Customer in the three months preceding the claim. Under no circumstances shall Easy Learn be liable for indirect, incidental, or consequential damages.
INTELLECTUAL PROPERTY
Easy Learn retains all rights to its services, content, and materials. The Customer may not copy, modify, or distribute Easy Learn’s proprietary materials without prior written consent.
USE OF PERSONAL DATA
Easy Learn will comply with all applicable U.S. privacy laws, including the California Consumer Privacy Act (CCPA). The Customer warrants that it has secured necessary rights to share personal data for use under this Agreement.
CONFIDENTIALITY
Both parties agree to protect each other’s confidential information and use it solely for the purposes of fulfilling this Agreement. This obligation survives the termination of the Agreement.
ASSIGNMENT
Neither party may assign its rights or obligations under this Agreement without prior written consent, except in the case of a merger or sale of substantially all assets.
FORCE MAJEURE
Neither party shall be liable for delays or failure to perform due to causes beyond their reasonable control, including acts of God, natural disasters, or government actions.
UPDATES
Easy Learn reserves the right to modify these Terms and Conditions with 30 days’ written notice. Continued use of the services after such modifications constitutes acceptance of the updated terms.
GOVERNING LAW
This Agreement is governed by the laws of the State of New-Mexico, United States. Any disputes shall be resolved in the courts located in Albuquerque, New-Mexico, United States.
GENERAL
This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements. Any amendments must be in writing and signed by both parties.
